1. Acceptance of Terms

By accessing and using the services provided by DigitalMara OÜ ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement.

3. Services Description

DigitalMara OÜ provides computer programming services including but not limited to:

• Web development and design
• Mobile application development
• Custom software development
• Technical consulting services
• Cloud solutions and deployment
• Maintenance and support services

4. Service Agreement

4.1 Project Scope

All services will be provided according to the specifications agreed upon in writing between the Company and the Client. Any changes to the project scope must be approved in writing by both parties.

4.2 Timeline

Project timelines are estimates based on the information provided by the Client. Delays caused by late feedback, content provision, or scope changes may affect the delivery schedule.

4.3 Client Responsibilities

The Client agrees to:

• Provide accurate and complete project requirements
• Supply necessary content and materials in a timely manner
• Provide timely feedback and approvals
• Ensure all provided content is legally compliant

5. Payment Terms

5.1 Pricing

All prices are quoted in EUR unless otherwise specified. Prices are subject to change with 30 days written notice.

5.2 Payment Schedule

Payment terms will be specified in the project agreement. Generally:

• 50% deposit required before project commencement
• Remaining balance due upon project completion
• Monthly billing for ongoing maintenance services

5.3 Late Payments

Late payments may incur a charge of 1.5% per month on the outstanding balance.

6. Intellectual Property

6.1 Client Content

The Client retains ownership of all content, data, and materials provided to the Company.

6.2 Developed Solutions

Upon full payment, the Client will own the custom code developed specifically for their project. The Company retains rights to any pre-existing code, frameworks, or tools used.

6.3 Company Portfolio

The Company reserves the right to display completed projects in its portfolio unless otherwise agreed in writing.

7. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information shared during the course of the project. This obligation continues beyond the termination of the agreement.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards.

8.2 Disclaimer

Our services are provided "as is" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

In no event shall DigitalMara OÜ be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services, even if we have been advised of the possibility of such damages.

10. Termination

Either party may terminate the agreement with 30 days written notice. In case of termination:

• Client pays for all work completed to date
• Company delivers all completed work and materials
• Both parties return any confidential information

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of Estonian courts.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government regulations.

13. Modifications

These terms may be modified only by written agreement signed by both parties. Any modifications will be effective immediately upon signing.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
